Vendor Agreement – Bazar Alward Platform

This agreement governs the relationship between the Bazar Alward platform and the seller registered on the platform and defines the terms and conditions for using the platform services to display and sell products to customers within the Kingdom of Saudi Arabia.

1. Platform Definition

Bazar Alward is a multi-vendor electronic marketplace that operates as an electronic intermediary enabling sellers to display and sell their products to customers through the platform. The platform is not considered the owner, manufacturer, or supplier of the products displayed unless explicitly stated otherwise.

2. Eligibility for Seller Registration

A seller may register on the platform provided that they have:

  • A valid commercial registration; or
  • A freelance certificate or any legal authorization permitting commercial activity within the Kingdom of Saudi Arabia.

The seller is responsible for the accuracy of all information provided to the platform.

3. Seller Responsibilities

The seller agrees to:

  • Provide accurate and correct product information
  • Display authentic images of the products
  • Clearly specify prices inclusive of VAT where applicable
  • Comply with the applicable e-commerce regulations in the Kingdom of Saudi Arabia
  • Prepare and ship orders within the timeframe specified on the product page
  • Deal with customers professionally and respectfully

4. Responsibility for Product Quality

The seller bears full responsibility for product quality and for ensuring that products match their descriptions and images displayed on the platform, including any manufacturing defects or specification discrepancies.

5. Order Preparation and Shipping

The seller must prepare orders and hand them over to the shipping provider within the timeframe specified on the product page and is responsible for any unjustified delay in order preparation.

6. Platform Commission and Fees

Bazar Alward platform is entitled to a commission of 20% of the value of each sale completed through the platform unless a different percentage is agreed upon in writing between the parties.

The platform reserves the right to adjust commission rates or grant exemptions or incentives to certain sellers according to operational policies or special agreements without creating any entitlement for other sellers to claim equal treatment.

7. Payment Collection Mechanism

Bazar Alward platform collects order payments from customers as a disclosed collection agent and transfers seller earnings after deducting commission and operational fees according to the platform’s approved settlement procedures.

The seller agrees that the platform commission shall be deducted directly from the order value before transferring the remaining balance.

8. Taxes and Zakat

The seller is responsible for complying with all applicable tax and zakat obligations, including VAT registration once the statutory threshold is reached.

9. Returns and Exchange Policy

The seller agrees to comply with the platform’s approved Returns and Exchange Policy and with the applicable regulations in the Kingdom of Saudi Arabia.

The seller is responsible for handling return requests related to defective products or products that do not match their descriptions.

10. Prohibited Products

It is prohibited to list any products that violate regulations, public morals, intellectual property rights, or the applicable e-commerce laws of the Kingdom of Saudi Arabia.

The platform reserves the right to remove any violating product without prior notice.

11. Suspension or Termination of Seller Account

The platform reserves the right to suspend or permanently terminate the seller’s account in the following cases:

  • Violation of this agreement
  • Repeated customer complaints
  • Listing products that violate regulations
  • Providing incorrect information
  • Any activity negatively affecting the platform’s reputation

12. Platform Role as an Electronic Intermediary

Bazar Alward operates as an electronic intermediary between the seller and the customer to facilitate product display, ordering, payment processing, and communication. The platform does not assume responsibility for product quality or shipment execution except in cases resulting directly from an operational error by the platform.

13. Dispute Resolution

In the event of a dispute between the customer and the seller, the platform reserves the right to intervene in order to organize the resolution process in a way that ensures fairness between the parties according to the approved policies and applicable regulations.

14. Protection of Customer Data

The seller agrees not to use customer data for any purpose outside the scope of order fulfillment and not to share it with any third party.

15. Amendment of the Agreement

Bazar Alward platform reserves the right to amend this agreement when necessary. The updated version will be published on the platform, and continued use of the platform by the seller constitutes acceptance of the amendments.

16. Governing Law

This agreement shall be governed by and interpreted in accordance with the laws and regulations of the Kingdom of Saudi Arabia. The competent courts within the Kingdom shall have jurisdiction over any dispute arising from this agreement.
